Mr. Wenzel is a shareholder of the firm and has represented numerous closely held and family businesses throughout the state of Texas since 1980. He advises clients on issues dealing with everything from the formation of the business to the sale or other disposition of the business including coordinating the business planning with the client's overall estate and succession planning. Mr. Wenzel's scope of services over the years has been widely varied and includes counseling clients on choice of entity, management structure, buy-sell planning, employment contracts, third party contracts, mergers and acquisitions, stock options, alternative compensation plans, bank financing and the federal and state tax issues related to such planning. Actively involved in the development and implementation of family limited partnerships and Texas franchise tax reorganizations, he has received two IRS Private Letter Rulings approving a Texas franchise tax reorganization plan.
