Fiduciary Representation

The firm provides representation of fiduciaries in providing counsel in the discharge of fiduciary responsibilities, including:

  • Executors, administrators and personal representatives of decedent's estates
  • Trustees of personal and family trusts
  • Trustees of Employee Stock Ownership Plans (ESOPs) and fiduciaries of other types of employer sponsored qualified retirement plans
  • Trustees and directors of business corporations and non-profit organizations.
  • Other types of fiduciaries, including those created by power of attorney, escrow arrangements or otherwise.


This area of the firm's practice focuses on advising clients with respect to the discharge of their powers, responsibilities and duties in specialized fiduciary relationships under applicable local and federal law.

With respect to fiduciary representation involving ESOPs and other types of employer sponsored qualified plans under ERISA, the practice includes transactional representation and appropriate due diligence in the discharge of fiduciary responsibilities under ERISA and other applicable federal law under the enforcement jurisdiction of the Internal Revenue Service and United States Department of Labor in transactions, including acquisitions and disposition of employer stock ownership, compliance with the prohibited transaction rules and other operating compliance issues.
